By using the Website or engaging our services, you accept these Terms. If you do not accept them, do not use the Website or our services.

2. Who the services are for

Our services are offered to businesses only. They are not offered to consumers. By engaging us you confirm that you are acting in the course of a business, that you are at least 18 years old and that you are authorised to bind the entity you represent.

3. Services

3.1 We provide media buying and the planning, creation, delivery, optimisation and reporting of commercial advertising campaigns on social media platforms, principally for clients in the fintech and e-commerce sectors.

3.2 The specific scope, deliverables, budgets, platforms, timelines and fees for each engagement are set out in a separate proposal, insertion order, statement of work or service agreement (each, an "Order"). An Order forms part of the contract between us and prevails over these Terms in the event of conflict.

3.3 Nothing on the Website constitutes an offer. A contract is formed only when an Order is signed or confirmed in writing by both parties.

3.4 We may engage subcontractors, freelancers and platform partners to deliver parts of the services. We remain responsible for their performance.

4. Client obligations

The client shall:

  • (a) provide accurate, complete and lawful information, materials, creative assets, landing pages, tracking access and platform credentials required for the services;
  • (b) hold all licences, registrations, authorisations and regulatory approvals required to promote its products or services in each target market — in particular for financial, credit, investment, payment or other regulated products — and provide evidence on request;
  • (c) ensure that all materials supplied to us, and all products, services, claims, offers and landing pages advertised, comply with applicable law and with the policies of the relevant advertising platforms;
  • (d) maintain its own privacy notice, cookie compliance and lawful basis for any personal data it provides to us or asks us to process;
  • (e) co-operate in good faith with KYC and due diligence checks and supply the requested documentation;
  • (f) respond to requests for approval, feedback and information within the agreed timeframes.

5. Prohibited content and activities

We do not accept engagements involving, and the client shall not require us to promote:

  • unlicensed financial, investment, credit or payment products, or products making misleading or guaranteed-return financial claims;
  • fraudulent, deceptive or misleading offers, including fake discounts, fabricated endorsements or cloaked landing pages;
  • counterfeit goods or infringement of third-party intellectual property;
  • illegal goods and services, weapons, illicit drugs, adult content, or content that is defamatory, discriminatory, or promotes violence or hatred;
  • malware, invalid traffic, incentivised or artificially generated engagement, or any attempt to circumvent platform review or detection systems.

We may suspend or terminate an engagement immediately, without liability, if we reasonably believe this Section has been breached.

6. Fees, invoicing and media budgets

6.1 Fees, media budgets, currency and the payment schedule are set out in the relevant Order.

6.2 Unless the Order provides otherwise, media budgets are payable in advance and are used solely to fund advertising spend on the relevant platforms. Agency fees are separate from media spend.

6.3 Invoices are payable within the period stated in the Order. We may suspend campaigns and services where an invoice remains unpaid after its due date.

6.4 All amounts are exclusive of any applicable taxes, duties, bank charges and platform surcharges, which are payable by the client.

6.5 Unspent media budget is refundable or carried forward as set out in the Order. Agency fees for work already performed are non-refundable.

7. Platform rules and third-party services

Campaigns are delivered on third-party platforms and networks that set their own policies, pricing, review processes and enforcement actions. The client acknowledges that:

  • platforms may reject, restrict, pause or remove advertisements, or suspend accounts, at their discretion;
  • platform rules, algorithms, inventory availability and pricing may change without notice;
  • we are not responsible for acts, omissions, outages or decisions of any platform, and such events do not relieve the client of its payment obligations for media already delivered.

8. No guarantee of results

Advertising performance depends on factors outside our control, including market conditions, competition, platform behaviour, product-market fit and the quality of the client's own offer and landing pages. We perform the services with reasonable skill and care, but we do not warrant or guarantee any particular reach, impression volume, click, conversion, revenue, return on ad spend or other commercial outcome. Any forecasts, benchmarks or projections are estimates only and are not contractual commitments.

9. Intellectual property

9.1 Each party retains ownership of its pre-existing intellectual property.

9.2 The client grants us a non-exclusive, royalty-free licence to use its trade marks, logos, content and materials for the sole purpose of delivering the services.

9.3 Subject to full payment, the client receives a non-exclusive, perpetual licence to use the advertising creatives produced specifically for it under an Order, for its own advertising purposes. We retain ownership of our methodologies, templates, tools, know-how and any underlying materials.

9.4 We may reference the client's name and logo and describe the engagement in our portfolio and marketing materials, unless the client objects in writing.

9.5 All content on the Website is owned by or licensed to us and may not be copied, reproduced or republished without our prior written consent.

10. Confidentiality

Each party shall keep confidential all non-public information received from the other in connection with an engagement, use it only for the purposes of that engagement, and protect it with no less care than it applies to its own confidential information. This obligation survives termination for three years. It does not apply to information that is public through no breach, independently developed, or required to be disclosed by law or a competent authority.

11. Data protection

Each party shall comply with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and any other applicable data protection law. Where we process personal data on behalf of the client, the client is the controller and we act as processor, on the client's documented instructions and subject to the data processing terms agreed between the parties. Our processing of personal data as a controller is described in our Privacy Policy.

12. Liability

12.1 Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud or wilful misconduct.

12.2 Subject to Clause 12.1, neither party is liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business, loss of goodwill, or loss or corruption of data.

12.3 Subject to Clause 12.1, our total aggregate liability arising out of or in connection with an engagement shall not exceed the total agency fees (excluding media spend) paid by the client to us under the relevant Order in the three months preceding the event giving rise to the claim.

12.4 We are not liable for losses caused by the client's own materials, claims, products, landing pages, regulatory non-compliance, delays or failure to provide information, or by the acts or decisions of any advertising platform.

13. Indemnity

The client shall indemnify us against all claims, damages, fines, losses and reasonable costs arising from: (a) the client's materials, products, services or claims; (b) breach of Section 4 or Section 5; (c) infringement of third-party rights by materials supplied by the client; or (d) the client's breach of applicable law or platform policies.

14. Term, suspension and termination

14.1 An engagement continues for the term set out in the Order.

14.2 Either party may terminate an engagement on 30 days' written notice unless the Order provides otherwise.

14.3 Either party may terminate immediately on written notice if the other commits a material breach that is not remedied within 14 days of notice, becomes insolvent, or ceases to carry on business.

14.4 We may suspend or terminate immediately where required by law, regulation, a licensing authority or an advertising platform, or where Section 5 has been breached.

14.5 On termination, the client shall pay all fees and media spend incurred up to the effective date of termination. Clauses 9 to 13, 15 and 16 survive termination.

15. Force majeure

Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, civil unrest, government or regulatory action, strikes, failures of telecommunications, hosting or platform infrastructure, or cyber attack.

16. Governing law and jurisdiction

These Terms and any engagement are governed by the laws applicable in the Emirate of Dubai and the federal laws of the United Arab Emirates, including the regulations of the Dubai Integrated Economic Zones Authority. The courts of Dubai, United Arab Emirates, have exclusive jurisdiction over any dispute, subject to any alternative dispute resolution mechanism agreed in an Order.

17. General

17.1 These Terms, together with the applicable Order, Privacy Policy and Cookie Policy, constitute the entire agreement between the parties.

17.2 Neither party may assign its rights without the other's written consent, except to a successor in a merger or acquisition.

17.3 The parties are independent contractors. Nothing creates a partnership, joint venture, agency or employment relationship.

17.4 If any provision is held invalid, the remainder continues in force.

17.5 Failure to enforce a right does not waive it.

17.6 Notices shall be in writing and sent to marketing@primereach.pro or to the registered office address above.

17.7 We may update these Terms from time to time. The current version is always published on the Website with the effective date shown at the top. Changes do not apply retroactively to Orders already in force.

17.8 These Terms are drawn up in English. Any translation is provided for convenience only and the English version prevails.
